Terms and Conditions of Sale and Use (T&Cs) -- Chipi Chipon

These Terms and Conditions of Sale and Use (hereinafter the "T&Cs") govern the use of the mobile application "Chipi Chipon" (hereinafter the "Application") and the purchases of digital services made by users (hereinafter the "User").

1. Publisher Identity

2. Description of Services

Chipi Chipon offers a digital wardrobe management service including:

• Storage and digitization: Importing clothing photos with automatic background removal.
• Outfit suggestions (Shuffle): Outfit composition algorithm based on various parameters (weather, colors, etc.).
• Virtual try-on: Visual simulation of outfits on a User photo via artificial intelligence.
• Planning: Outfit planning calendar.

3. Pricing and Subscriptions

The Application offers a "Freemium" model and several tiers of auto-renewable paid subscriptions.

3.1. Auto-Renewable Subscription Plans

The following subscriptions are available:

• Chipi Plus Monthly: 1-month duration with auto-renewal. Includes unlimited suggestions, unlimited planning, unlimited wardrobe, 20 virtual try-on credits per month, and no watermark.

• Chipi Plus Annual: 1-year duration with auto-renewal. Includes the same benefits as Plus Monthly.

• Chipi Pro Monthly: 1-month duration with auto-renewal. Includes unlimited suggestions, unlimited planning, unlimited wardrobe, 60 virtual try-on credits per month, and no watermark.

• Chipi Pro Annual: 1-year duration with auto-renewal. Includes the same benefits as Pro Monthly.

Prices are displayed in the Application at the time of purchase and may vary depending on the User's country and currency.

3.2. Auto-Renewal Terms (Apple App Store)

• Payment: Payment will be charged to the User's Apple ID account at confirmation of purchase.
• Auto-renewal: The subscription automatically renews for an identical period unless auto-renewal is turned off at least 24 hours before the end of the current period.
• Renewal billing: The User's account will be charged for renewal within 24 hours prior to the end of the current period, at the current subscription rate.
• Management and cancellation: The User can manage subscriptions and turn off auto-renewal in their device Settings > [Their name] > Subscriptions, or via the App Store > their profile > Subscriptions.
• Free trial period: If a free trial period is offered, any unused portion of the free trial will be forfeited when the User purchases a subscription.
• No partial refund: No refund is provided for the unused portion of a current subscription period.

3.3. Virtual Try-On Credits

Subscriptions including AI try-on credits provide a monthly quota. The User acknowledges that these credits do not carry over from one month to the next. Any unused credits at the renewal date are lost.

Additional credit packs (Top-ups) are also available for purchase as consumable in-app purchases.

3.4. Price Changes

EURL Quentin Nippert reserves the right to modify its pricing. Any increase will be communicated to the User in accordance with App Store procedures at least 30 days before taking effect.

4. Right of Withdrawal

In accordance with Article L.221-28 13 of the French Consumer Code, the 14-day right of withdrawal cannot be exercised for the provision of digital content not supplied on a tangible medium whose performance has begun with the consumer's prior express consent.

By confirming their In-App purchase for immediate access to Premium services, the User expressly waives their right of withdrawal.

Any refund request must be addressed directly to Apple support in accordance with their refund policy.

5. Liability and AI Limitations

The service relies on third-party artificial intelligence technologies.

• Visual simulation: Virtual try-on renders are digital simulations dependent on the quality (sharpness, lighting) of the photos provided by the User. They have no contractual value of absolute fidelity to the actual garment.
• "Shuffle" service: Outfit suggestions are provided for informational purposes only. EURL Quentin Nippert cannot be held responsible for the inadequacy of an outfit with real conditions (weather, context).
• Liability: EURL Quentin Nippert shall not be held liable for bugs, interruptions related to third-party providers, or unsatisfactory visual results.

6. Intellectual Property and Image Rights

• Content warranty: The User warrants that they hold the intellectual property rights and image rights for the photos they import (clothing and portraits). EURL Quentin Nippert declines any responsibility in case of dispute with a third party.
• Commercial use: The User owns the final images generated via AI. EURL Quentin Nippert expressly authorizes the use of these renders for commercial purposes (e.g., social media, influencer activities).
• Technical license: The User grants Chipi Chipon a free license for the technical use of their photos solely for the purpose of providing the service.
• Watermarks: On free versions (Freemium), technical watermarks are applied to images. The User shall not remove or conceal them.

7. Personal Data and GDPR

• Hosting: Data is hosted on secure servers located in Europe (Digital Ocean).
• AI processing: Photos may be temporarily processed by third-party services (Replicate, Inc., which may use models from OpenAI and ByteDance) for virtual try-on generation and clothing analysis. No internal model training is performed with your personal photos.
• User rights: In accordance with GDPR, the User has the right to access, rectify, and delete their data. EURL Quentin Nippert commits to the immediate deletion of data upon simple request or account closure.

8. Service Availability

The Application is provided "as is". The publisher strives to ensure 24/7 availability but does not guarantee the absence of interruptions related to maintenance or third-party technology provider failures.

9. Applicable Law and Disputes

These T&Cs are governed by French law. In the event of a dispute, and after an unsuccessful attempt at amicable resolution, exclusive jurisdiction is attributed to the competent French courts.
